These Terms of Service (“Terms”) are a contract between you and Quis Technologies, LLC, a Delaware (USA) limited liability company (“Quis”, “we”, “us”). They cover your use of the Quis mobile application and any related services (together, the “Service”).
By installing or using Quis, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Quis.
1. Who can use Quis
You must be at least 13 years old (or 16 if you live in the European Economic Area, the United Kingdom, or another jurisdiction that sets a higher digital-consent age) to use Quis. By using the Service, you confirm you meet that age and that nothing in your local law prevents you from agreeing to these Terms.
If you use Quis on behalf of an organization, you confirm you have authority to bind that organization to these Terms.
2. Your account
Quis uses anonymous authentication. There is no account to create, no password to remember, and no email or phone number to share. A random identifier is generated for your install (see the Privacy Policy, §4.1). You are responsible for the device the install lives on; if you lose the device or uninstall the app, your local data goes with it.
3. What Quis does, and what it doesn't
Quis helps you organize your contacts with context: where and when you met someone, notes, groups, and a few automatic enrichments. The core features are:
- Reading and writing your phone's native address book on your behalf;
- Stamping contacts with approximate place and time (including via the optional background listener);
- Scanning business cards using cloud-based AI extraction;
- Showing you your relationships on a map and in a timeline; and
- Letting you import and export contacts as vCard files.
Quis is not a backup service. Although your contacts live in your phone's native address book (which your OS may back up under its own rules), Quis-specific data (the “when we met” timestamp and place, plus favorites on iOS) is stored locally on your device and is not synced to our servers. If you change devices without exporting first, that data may be lost. We strongly recommend periodically using the Export contacts feature in Settings.
4. Your content; your responsibilities
The contacts, notes, photos, and other content you put into Quis are yours (“Your Content”). We do not claim any ownership of it. You grant Quis only the narrowly scoped, royalty-free, worldwide license needed to operate the Service for you, for example to send a business-card image to our extraction backend so it can return parsed fields, or to send coordinates so a place name can be looked up. We do not use Your Content to train AI models.
You are responsible for Your Content. In particular, you confirm that:
- You have the right to store and process the contact information of the people in your address book under the laws that apply to you (for example, if you use Quis professionally, you may have obligations under GDPR, CCPA, or other privacy laws toward the people you record).
- You will not use Quis to harass, stalk, threaten, or otherwise harm another person, or to collect or process information about minors in violation of applicable law.
- You will not upload, scan, or store content that is unlawful, defamatory, infringes someone else's rights, or contains malware.
5. Acceptable use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of Quis, except to the extent applicable law expressly permits despite this limitation.
- Probe, scan, overload, or interfere with the Service or our backend, or attempt to access it other than through the Quis app.
- Circumvent App Check, rate limits, or any other protective measure.
- Use the Service to build a competing product, to train a machine-learning model, or to scrape data from third-party services through Quis.
- Use Quis in any way that violates applicable law (including export-control and sanctions laws).
We may suspend or block installs that violate this section.
6. Free today; paid features later
Quis is free to install and use today. We plan to introduce optional paid features (“Pro”) in the future, sold through Apple's App Store and Google Play as in-app subscriptions or one-time purchases.
When Pro is launched:
- Pricing, billing, renewal, and refunds will be handled by Apple or Google under their respective terms.
- Subscriptions auto-renew unless cancelled in your App Store / Play Store account at least 24 hours before the end of the current period.
- You can manage and cancel subscriptions at any time in your store account.
- Features that are free today may later move into Pro (for example, business-card scanning or saving scanned cards, and vCard import). If a feature you already use moves behind Pro, we will give you reasonable advance notice first.
These Terms will be updated when Pro launches.
7. Third-party services
Quis relies on third parties to operate (see the Privacy Policy, §8): Google Cloud (Firebase, Vertex AI, Maps, Places, App Check) and Mapbox. Your use of features that touch those services is also subject to their terms. We are not responsible for the availability or content of third-party services.
8. AI-extracted content
When you scan a business card, Quis sends the image to an AI model running in Google Cloud and returns whatever fields it can extract. AI extraction is best-effort. Fields can be missed, misread, or mis-attributed. You are responsible for reviewing and correcting scanned contacts before relying on them. We do not warrant that AI output is accurate, complete, or fit for any particular use.
9. Updates and changes to the Service
We may add, change, or remove features at any time. We will give you reasonable notice before changes that materially reduce functionality you depend on. We may also stop offering the Service altogether; if we do, we will give you reasonable advance notice and a way to export Your Content first.
10. Termination
You may stop using Quis at any time by uninstalling the app. We may suspend or terminate your access if you materially breach these Terms, if continued provision of the Service to you would expose us to legal risk, or if we discontinue the Service. On termination, sections that by their nature should survive (ownership, disclaimers, liability limits, dispute resolution) will survive.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI EXTRACTION OR PLACE LOOKUPS WILL BE ACCURATE.
Some jurisdictions do not allow the exclusion of certain warranties; in those places, the above exclusions apply to the maximum extent permitted by law.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER QUIS NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50.
Some jurisdictions do not allow these limitations; in those places, they apply to the maximum extent permitted by law, and nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence).
13. Indemnification
You will defend, indemnify, and hold harmless Quis, its officers, members, and employees from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your breach of these Terms, or (c) your violation of applicable law or third-party rights.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Subject to Section 15, the state and federal courts located in Delaware have exclusive jurisdiction over any dispute, and you and Quis consent to that jurisdiction and venue.
If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law gives you the benefit of mandatory local-court jurisdiction or local law, nothing in these Terms removes that benefit.
15. Informal resolution first
Before filing a formal claim, please contact us at legal@quis.co and give us 30 days to try to resolve the issue informally. Most things can be sorted out by email.
16. Apple-specific terms (iOS only)
If you obtained Quis from the Apple App Store, you acknowledge that:
- These Terms are between you and Quis, not Apple. Apple is not responsible for Quis or its content.
- Apple has no obligation to provide maintenance or support for Quis.
- In the event of any failure of Quis to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.
- Apple is not responsible for addressing any claims by you or any third party relating to Quis, including product liability, regulatory non-compliance, or consumer-protection claims.
- In the event of a third-party intellectual-property claim relating to Quis, Quis (not Apple) will be solely responsible.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
17. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Quis about the Service.
- No waiver. Our failure to enforce a right is not a waiver of it.
- Severability. If any part of these Terms is unenforceable, the rest remain in effect.
- Assignment. You may not assign these Terms; we may assign them to a successor (for example, in a merger or sale of the business).
- Notices. We will give you notices by posting updated Terms (with a new date), or by email if you have provided one.
